Terms of Service

Effective Date: 01 July 2024

1. Acceptance of Terms

These Terms of Service ("Agreement") constitute a legally binding agreement between InLoyalty (operated by Wizly Labs Pte Ltd) ("Company," "we," "us," or "our") and the Merchants ("Merchant," "you," or "your") accessing or using our software and services (collectively, the "Service"). By accessing or using the Service, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, please refrain from using the Service.

2. Merchant Eligibility

To be eligible, You must have an active Shopify account.  

3. Account Registration

To use our Service, you are not required to register for a new account apart from your Shopify account. However, you are responsible for ensuring the security and confidentiality of your Shopify account information.

4. Merchant Conduct

You agree to use the Service for lawful purposes and in compliance with all applicable laws and regulations. You shall not engage in any conduct that, in our sole discretion, restricts or inhibits any other User from using or enjoying the Service.

5. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of InLoyalty (operated by Wizly Labs Pte Ltd) and its licensors. The Service is protected by copyright, trademark, and other laws of both Singapore and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6. Privacy and Data Collection

Our collection and use of information are governed by our Privacy Policy, which is available here. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

7. Content Submission

You may submit content to the Service. By doing so, you grant us a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your content in any existing or future media. You also grant us the right to sub-license these rights and the right to bring an action for infringement of these rights.

8. Service Availability

We make reasonable efforts to ensure the availability of the Service but do not guarantee uninterrupted or error-free access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach this Agreement.

10. Liability and Disclaimers

a) Limitation of Liability: InLoyalty (operated by Wizly Labs Pte Ltd) and its indemnified entities shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of use, lost profits, lost revenue, business interruption, or costs of procuring substitute software or services. This limitation applies whether such damages arise under contract, tort (including negligence), or any other legal theory, even if InLoyalty has been advised of the possibility of such damages.

b) Data Loss: While InLoyalty makes reasonable efforts to preserve and backup your data, InLoyalty shall not be responsible for any loss, damage, corruption, or recovery of data, including your data, that may occur during the use of the Service. You are responsible for maintaining backups of their data.

c) Third-Party Services: InLoyalty shall not be liable for any third-party services, activities of third parties, or any connection to or transmission from the internet. InLoyalty disclaims all responsibility for any damage, loss, or injury resulting from hacking, tampering, theft, or other unauthorized access to or use of the Service, merchant accounts, or the information contained in merchant accounts, including merchant-generated content.

d) Maximum Liability: In no event shall InLoyalty (operated by Wizly Labs Pte Ltd) or its indemnified entities be liable under or in connection with this Agreement or its subject matter, in the aggregate, for an amount exceeding the lower of:

- USD $100.
- The fees actually paid or payable by you to InLoyalty (operated by Wizly Labs Pte Ltd) for the services in the month immediately preceding the date on which the damages arose.

 

This limitation of liability is intended to apply to the fullest extent permitted by applicable law.

11. Links to Third-Party Sites

The Service may contain links to third-party websites or services. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

12. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the Singapore, without regard to its conflict of law principles. Any dispute arising out of or related to this Agreement will be subject to the exclusive jurisdiction of the courts in Singapore.

13. Changes to Terms of Service

We reserve the right to modify or replace these terms at any time. You are responsible for regularly reviewing this Agreement for changes. Your continued use of the Service after any changes constitutes acceptance of those changes.
